This Service Agreement is entered into by and between DeeTech Solutions LLC , and the client who uses our AI chatbot development and related services. By accessing or using our services via https://www.techoncall.shop/, you agree to be bound by the terms of this Agreement.
1. Services Provided
1.1 We provide the following services, including but not limited to:
- AI-powered chatbot design and development
- Integration with platforms such as WhatsApp, Facebook Messenger, and websites
- Custom workflows and automation
- Natural language processing (NLP) configuration
- API integration and backend automation
- Analytics dashboard setup
- Ongoing chatbot training and improvement
- Technical support and maintenance
1.2 The Company may expand or adjust its service offerings as technology evolves. All current services are listed on our website or agreed to in writing.
2. Payment and Fees
2.1 The Client agrees to pay service fees as specified in the quotation or invoice provided by the Company.
2.2 Payment is due before the commencement of the project or according to the agreed installment schedule.
2.3 Accepted payment methods include bank transfer, credit card, PayPal, and other methods approved by both parties.
2.4 Unless otherwise agreed in writing, all payments are final and non-refundable. If the Client cancels the project after initiation, no refund will be provided.
3. Delivery Policy
3.1 All services and deliverables are digital and delivered through online channels (e.g., cloud storage, email, server deployment, or API access).
3.2 Delivery timelines are based on mutual agreement and may be subject to change due to external circumstances. The Company will communicate any such changes promptly.
4. Project Scope and Changes
4.1 Any requested work outside the original project scope will require a new quote and may extend the delivery timeline.
4.2 Minor adjustments may be included during the revision phase, but major changes will be billed separately.
5. Refund & Cancellation Policy
5.1 We do not offer refunds after work has begun or services have been delivered, due to the custom nature of AI chatbot development.
5.2 If a cancellation is requested before the project starts, a partial refund may be issued, depending on preparatory work completed.
5.3 If the delivered chatbot does not meet agreed specifications due to our fault, we will correct it at no additional charge.
6. Client Responsibilities
6.1 The Client agrees to provide all necessary access, materials, and timely communication required to complete the project.
6.2 The Client may not use our services for illegal or malicious activities, including but not limited to fraud, spam, copyright infringement, or abuse.
6.3 The Client is responsible for reviewing and testing the chatbot before deployment and for backing up all related data.
7. Intellectual Property
7.1 All intellectual property, code, and configurations developed by the Company remain the property of DeeTech Solutions LLC until full payment is received.
7.2 Upon full payment, the Client will be granted a non-exclusive, non-transferable license to use the chatbot and associated code for their business purposes.
7.3 We reserve the right to showcase general features or non-sensitive parts of the project in our portfolio.
8. Limitation of Liability
8.1 We aim to provide high-quality, reliable services. However, we are not liable for:
- Third-party service failures (e.g., API outages, hosting problems)
- Delays caused by the Client’s inaction or inaccurate information
- Any indirect, incidental, or consequential damages
8.2 The Client assumes full responsibility for the legality and appropriateness of the content used in the chatbot.
9. Termination
9.1 The Company reserves the right to suspend or terminate the project if:
- The Client fails to pay as agreed
- The Client violates any part of this Agreement
- The Client engages in abusive or illegal behavior
10. Dispute Resolution
10.1 This Agreement shall be governed by the laws of the State of [insert your state here, e.g., Wyoming or Delaware], United States.
10.2 Any disputes shall be resolved first through good-faith negotiation. If not resolved, the matter will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA).
